	Terms and Conditions A. General Terms 1. You must have applied for and received approval for a bookseller account with Sandpiper Books Ltd (sandpiper.co.uk), to use any of the online ordering facilities (the Internet Services) operated at www.sandpiper.co.uk. 2. In order to use the Internet Services you must enter your email address and a password (Log In Details). Please keep them secret, as you are entirely responsible if you do not maintain the confidentiality of your password. You are entirely responsible for all activities, which occur under your Log In Details. You must immediately notify us of any unauthorised use of your Log In Details or any breach of security known to you. 3. No contract will subsist between you and sandpiper.co.uk for the sale to you of any product until sandpiper.co.uk accepts your order and sends you confirmation by email. That acceptance will be deemed complete and for all purposes effectively communicated to you at the time sandpiper.co.uk sends the email to you (whether or not you receive that email). B. Trade Status & Sales Area 4. You must be a bookseller with trade status and a market profile to be eligible for an account with sandpiper.co.uk. 5. sandpiper.co.uk must be satisfied of your continued trade status and market profile and such will require proof as may be deemed necessary. 6. sandpiper.co.uk must be satisfied that your sales area does not conflict with our own trade market profile. C. Discount 7. sandpiper.co.uk operates a discretionary standing discount scheme which will entitle you to a discount rate. 8. Our discount scheme is applied entirely at the discretion of sandpiper.co.uk and your discount rate does not form a term in any future contract that you may enter into with sandpiper.co.uk except at sandpiper.co.uk�s discretion. 9. sandpiper.co.uk reserves the exclusive right to vary or remove your discount rate as may apply to any order you place with sandpiper.co.uk. 10. Where sandpiper.co.uk wishes to exercise its right to vary or remove your discount rate for a particular order we will inform you before processing any such order and you will have the opportunity to cancel or vary your order as the case may be. 11. Generally but not exclusively the title quantities of your order, your sales area, and how promptly you pay your invoices will influence your discount rate. D. Order Quantities 12. sandpiper.co.uk does not operate a minimum quantity requirement except for NETT and Sale designated items which have a minimum quantity of three or the remaining stock, whichever is the higher. 13. We reserve the exclusive right to limit the quantities of any title based on stock availability. E. Minimum Order Value / Delivery Charges United Kingdom Orders 14. The minimum order value (after any applicable discount) destined for a mainland UK address is �100, and delivery is free for these orders. Orders between �50 and �100 after discount will have a �10 carriage charge applied. We cannot accept orders below �50 nett. Overseas Orders 15. The minimum order value for overseas destined orders after any discount is currently (January 2008) �100 nett (US $ invoices minimum $250 nett). Delivery is free to your mainland UK shipper address. F. Pro forma Invoicing 16. All first-time orders placed with sandpiper.co.uk are strictly accepted and processed on a pro forma invoice basis. 17. Any pro-forma invoice that is not paid within two weeks of the invoice date will be automatically cancelled, and any future discount rate may also be reviewed. G. Credit Account 18. sandpiper.co.uk avails discretionary credit accounts to approved customers on a 30 day or more credit basis. You may apply in writing to Customer Services anytime after we have despatched your first order. 19. All credit account holders must pay their invoices (in full) within seven days of the due date. 20. All goods invoiced and delivered under a credit account remain the property of sandpiper.co.uk until the invoice is fully paid. However, risk in the said goods passes to the buyer upon delivery. 21. All credit accounts are held at the sole discretion of sandpiper.co.uk and can be varied or revoked at any time by sandpiper.co.uk. 22. If your credit account is revoked your account will automatically revert to pro forma invoice status and any outstanding invoice(s) will become payable immediately. 23. Persistent late payment of credit account invoices will result in a review of the credit account terms and/or your discount rate. H. Pricing and Availability 24. Please note that the prices quoted on our website are subject to change at any time. The actual price you pay will be as shown on the invoice after any discounts may have been applied. Where applicable, delivery and packing charges will be clearly calculated. The total payment value will be your order value plus any applicable delivery charge. 25. You agree that because of the nature of the Internet, the Internet Services are provided on an 'as is' and 'as available' basis. We are not liable to you if we are unable to supply a particular item. 26. We will always try to satisfy all your orders in full. However sometimes we may only be able to satisfy part of an order. The despatch note will list those items not supplied. I. Payment 27. All payments are in UK Pound Sterling unless otherwise stated on the invoice. J. Add, Amend, Cancellation of an Order 28. After you have submitted your order, you can amend, add to or cancel your order up until the order has been processed; call our Customer Services +44 (0)20 8767 7421 from 9am to 5pm (GMT) Monday to Friday. 29. We will usually merge multiple orders submitted online within one hour of each other into a single order. K. Returns 30. You must report in writing to sandpiper.co.uk any shortages or damages within seven days of receipt of the goods. Contact Customer Services via email at help@sandpiper.co.uk to receive authorisation and method of return. No unauthorised returns are allowed. 31. Once the items are received at our Customer Services Department we will action a refund, or replacement, or credit to your account, (as appropriate) within 5 working days and send you confirmation by email. L. Non-delivery 32. You must report in writing to sandpiper.co.uk any non-delivery within seven days of the due date of delivery. You can contact Customer Services via email at help@sandpiper.co.uk. M. Liability 33. Although we will endeavour to offer you best service, we make no promise that the Internet Services will meet your requirements, or that it will be uninterrupted, timely, secure or entirely error free. 34. sandpiper.co.uk shall not be liable (even where sandpiper.co.uk has been negligent) for loss of business, loss of revenue, loss of profits or loss of anticipated savings or wasted expenditure. 35. sandpiper.co.uk shall not be liable (even where sandpiper.co.uk has been negligent) for any loss which does not directly result from the actions of sandpiper.co.uk, its sub-contractors or agents. 36. Nothing in this clause shall limit or exclude sandpiper.co.uk's liability for death or personal injury. N. Termination 37. We reserve the right to terminate your ability to use the Internet Services if your conduct is found to be inconsistent with any of these Conditions by giving you 3 days� written notice. O. Copyright / Trademarks / Data Protection 38. Sandpiper Books Ltd owns all rights in the designs and information on each of our websites. You may copy and print portions of these websites for the sole purpose of placing an order with sandpiper.co.uk. The materials on our websites may not be used for any other purpose. 39. The names of the Internet Services and other sandpiper.co.uk services referenced on our websites are either trademarks or registered trademarks of Sandpiper Books Ltd. Other product and company names mentioned on these websites may be the trademarks or registered trademarks of their respective owners. 40. sandpiper.co.uk and our partners will use the information you provide, and transactional information, for administering this service and for marketing purposes including market research. We may analyse your data and send you offers and information, by mail or email, about other sandpiper.co.uk products that you may be interested in. If you do not want us to contact you by mail or email, contact Customer Services via email at help@sandpiper.co.uk, quoting your customer number. P. General Information 41. We reserve the right to alter or withdraw any of the Internet Services, to refuse the Internet Services to any customer and to amend these terms and conditions at any time. 42. sandpiper.co.uk shall not be responsible for any breach of these terms and conditions caused by circumstances beyond its control. 43. If sandpiper.co.uk is informed of any inaccuracies in the material on the on-line shopping service it will attempt to correct the inaccuracies as soon as it reasonably can. Q. Laws 44. These Conditions shall be governed by and construed in accordance with the laws of England and Wales and only the Courts of England and Wales will exclusively decide any disputes. R.
